Terms of Service for InvoiceClip

These Terms govern your use of InvoiceClip—our website (https://invoiceclip.com), public APIs, and any mobile or desktop features (collectively, the "Service"). By continuing to use the Service you agree to these Terms. If you ever disagree, please stop using InvoiceClip.
1. About us
InvoiceClip is owned and operated by Golden Nugget Labs LLC, a company registered in Wyoming, USA.
2. What the Service does
Upload an invoice, bill, or receipt and we convert it into structured data you can download or push to a spreadsheet, accounting tool, or database.
How it works
- Firebase – hosting, storage, sign-in, background jobs
- Google Gemini Vision and OpenAI Vision – optical character recognition (OCR) and field extraction
3. Account creation and eligibility
- Sign up with an email + password or with Google single sign-on (SSO).
- Keep your login details private; anything done through your account is your responsibility.
- You must be at least 16 years old (or the local "digital-consent" age where you live).
4. Plans, billing, and page quotas

* We automatically delete files (and their JSON) after the stated retention period.
- Unused monthly pages expire at the end of each billing cycle.
- Your saved payment method is charged on day 1 of each cycle; taxes added if required.
- You can upgrade or downgrade any time—changes start on the next renewal date.
5. Acceptable use
- Upload only documents you own or have a legal right to process.
- Do not upload unlawful, hateful, or highly sensitive personal documents (e.g., medical records without patient consent).
- Do not reverse-engineer, scrape, or overload our systems.
- Do not resell InvoiceClip inside another product without a separate written agreement.
- We may suspend or close accounts that break these rules.
6. Service interruptions
Why downtime can happen — We work hard to keep the Service up around the clock, yet interruptions may occur because of maintenance, upgrades, cloud-provider outages, or other unforeseen issues.
No liability for downtime — We are not liable for any loss, damage, or cost that results from temporary unavailability of the Service.
Advance notice — When feasible, we will post an in-app banner and email workspace owners at least 48 hours before planned maintenance that is expected to last more than 15 minutes.
OCR accuracy limits — OCR accuracy depends on the quality and complexity of the document. We do not guarantee 100% accuracy or error-free operation.
7. Refunds and cancellations
Refund window — Because every account starts with a free test allowance, we generally do not issue refunds. The only exception is a billing error reported within 24 hours of payment; in that situation email billing@invoiceclip.com and we will correct or refund the charge.
No refund for partial use — We do not refund unused page quotas, or partial months.
How to cancel — You may cancel at any time from Settings → Billing. Your plan stays active until the end of the current billing period and then stops—no extra fees or notice period.
Effect of cancellation — After your plan ends the account reverts to Free-tier limits. Files that exceed the Free-tier quota or retention period are deleted automatically; you can also delete them immediately in your dashboard.
8. Your content and privacy
- You own your documents and extracted data.
- Automatic deletion follows the retention periods in § 4, unless you delete content sooner.
- We do not sell or share your data with advertisers and we do not use it to train public AI models.

9. Intellectual property
- Your documents and their extracted data remain yours.
- InvoiceClip's software, brand, and underlying models remain ours (or our licensors').
- We grant you a non-exclusive licence to use the Service so long as you follow these Terms.
10. Third-party services
InvoiceClip relies on Firebase, Google Cloud, Google Gemini, and OpenAI. Their outages or policy changes can affect us. By using InvoiceClip you also agree to comply with their relevant terms.
11. Disclaimer and limitation of liability
Service provided "as is." We do not promise that InvoiceClip will be error-free, continuously available, or fit for every purpose.
OCR limitations. You are responsible for reviewing and verifying all extracted data; we are not liable for mistakes in OCR output.
Excluded damages. We are not liable for indirect, incidental, consequential, punitive, or special damages of any kind.
Force majeure. We are not liable for failure to perform caused by events beyond our reasonable control—such as natural disasters, war, civil unrest, power failures, cyber-attacks, or acts of government.
12. Changes to these Terms
We may update these Terms occasionally. We will email account owners or display an in-app banner at least 3 days before changes take effect. Continuing to use the Service after that date means you accept the new version.
13. Governing law
These Terms are governed by Wyoming law. Disputes will be handled in the state or federal courts of Wyoming unless local consumer laws give you non-waivable rights to do otherwise.
